This Agreement is entered into by and between ANSSPVT LLC d/b/a Apostille MA Services ("Service Provider") and the undersigned client ("Client"). By signing below, the Client confirms they have read, understood, and agreed to all terms.
1. Limited Scope of Service
The Service Provider is a document handling, courier, submission, and processing assistance provider only. Its role is limited to receiving documents, submitting them to the appropriate authority, advancing fees, picking up processed documents, returning them to the Client, and communicating status updates. The Service Provider does not act as an attorney, government agency, foreign authority, embassy, consulate, court, school, registrar, or legal representative.
2. No Legal Advice
The Service Provider does not provide legal advice. Nothing stated by the Service Provider shall be treated as legal advice, legal opinion, or a guarantee that a document will be accepted in the United States or any foreign country.
3. No Guarantee of Acceptance
The Service Provider cannot guarantee that any document will be accepted, that any apostille will be issued, that a receiving country will accept the document, or that a rush/expedited request will be completed within the requested time. All final decisions are made by the applicable authority.
4. Government and Third-Party Control
The Service Provider has no control over the actions, delays, errors, or rejections of any third party including the Massachusetts Secretary of the Commonwealth, U.S. Department of State, embassies, consulates, foreign government offices, courts, schools, employers, translation companies, or courier services (USPS, FedEx, UPS, DHL).
5. Client Responsibility for Document Accuracy and Eligibility
The Client is fully responsible for confirming that each document is the correct document, properly notarized when required, issued by the proper authority, and meets the rules of the destination country. The Service Provider may perform a basic visual review for submission purposes only.
6. Client Responsibility for Destination Country Requirements
The Client is fully responsible for confirming the exact requirements of the destination country before submitting the document, including whether translation or embassy legalization is required.
7. No Duty to Investigate Foreign Law
The Service Provider does not investigate, interpret, or apply foreign law and does not guarantee compliance with foreign legal, immigration, school, court, employment, business, marriage, adoption, visa, residency, or citizenship requirements.
8. Processing Times Are Estimates Only
Any processing time given is an estimate only. Rush, expedited, same-day, next-day, 5-7 business day, 7-10 business day, or any other stated processing time is not a guarantee. The Service Provider is not liable for missed deadlines, travel delays, visa issues, school deadlines, or business losses.
9. Fees, Charges, and Non-Refundability
All fees are non-refundable once work has started. Fees remain non-refundable even if the document is rejected, delayed, requires correction, the Client cancels, the receiving party refuses the document, the Client submitted the wrong document, or the apostille is not issued. Government, shipping, courier, embassy, consulate, translation, and travel fees are also non-refundable once incurred.
10. Resubmission and Correction Costs
If a document is rejected, returned, or requires correction, the Client is responsible for all additional costs including new service fees, filing fees, courier fees, government fees, embassy fees, notarization fees, translation fees, travel fees, and administrative fees.
11. Shipping, Mailing, and Courier Risk
The Service Provider is not responsible for lost, delayed, damaged, misdelivered, or stolen packages, incorrect addresses provided by the Client, customs delays, or international delivery delays. The Client is responsible for providing correct addresses and may request insurance or signature confirmation at additional cost.
12. Original Document Risk
By giving original documents to the Service Provider, the Client accepts the risk that government offices, foreign authorities, or third parties may staple, stamp, mark, attach certificates to, retain, delay, damage, or reject the documents.
13. Client Instructions
The Client agrees to provide clear and complete written instructions before processing begins, including destination country, number of documents, service type, return shipping address, and any deadlines.
14. Authorization to Handle and Submit Documents
The Client authorizes ANSSPVT LLC d/b/a Apostille MA Services, its owners, employees, contractors, agents, couriers, and vendors to handle, transport, submit, retrieve, mail, ship, and process the Client's documents.
15. No Attorney-Client Relationship
No attorney-client relationship is created by this Agreement. The Service Provider does not represent the Client in any legal, immigration, court, business, foreign, or government matter.
16. No Fiduciary Relationship
This Agreement creates a limited service relationship only. The Service Provider is not acting as a fiduciary, trustee, legal representative, or financial advisor.
17. Limitation of Liability
To the fullest extent allowed by Massachusetts law, the Service Provider's total liability for any claim shall not exceed the amount the Client paid directly to the Service Provider. The Service Provider shall not be liable for indirect, special, incidental, consequential, or punitive damages including lost profits, missed travel, missed deadlines, or emotional distress.
18. Release of Claims
The Client releases and holds harmless ANSSPVT LLC d/b/a Apostille MA Services from any claim, loss, cost, damage, delay, rejection, missed deadline, foreign refusal, courier issue, or third-party action, except where caused by intentional misconduct, fraud, or gross negligence.
19. Indemnification
The Client agrees to defend, indemnify, and hold harmless the Service Provider from any claim arising from incorrect or incomplete Client information, incorrect documents, failure to confirm destination requirements, third-party rejections, or misuse of an apostilled document.
20. Client Duty to Review Before Submission
By signing this Agreement and giving documents to the Service Provider, the Client confirms that the documents are ready for submission.
21. Confidentiality and Document Privacy
The Service Provider will use reasonable care when handling the Client's documents. Documents may need to be shared with government offices, couriers, vendors, embassies, consulates, or translators to complete the requested service.
22. Abandoned Documents
If the Client fails to respond, pay, or retrieve documents, the Service Provider may treat the documents as abandoned after 60 days and may charge storage, handling, or administrative fees.
23. Payment Disputes and Chargebacks
The Client agrees not to file a false or improper chargeback after services have been performed. The Client remains responsible for all unpaid amounts, chargeback fees, collection costs, and reasonable attorney's fees.
24. Right to Refuse or Stop Service
The Service Provider may refuse, pause, or stop service if the Client provides incomplete information, fails to pay required fees, provides altered or improper documents, or is abusive or dishonest.
25. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts.
26. Venue
Any dispute arising from this Agreement shall be brought in a court of proper jurisdiction in Massachusetts.
27. Entire Agreement
This Agreement contains the full understanding between the Client and the Service Provider and replaces any prior oral or written statement that conflicts with these terms.
28. Severability
If any part of this Agreement is found invalid or unenforceable, the remaining sections shall remain in full force and effect.
29. Client Acknowledgment
By signing below, the Client confirms: I have read and understand this Agreement; I had the chance to ask questions; I understand ANSSPVT LLC d/b/a Apostille MA Services is not a law firm; I understand no legal advice is being provided; I understand all government decisions are outside the Service Provider's control; I understand processing times are estimates; I understand fees are non-refundable once work starts; I accept responsibility for document accuracy and destination requirements; I authorize the Service Provider to handle and process my documents.
